This Grade Improvement Guarantee Agreement (hereinafter referred to as the "Agreement") is made by and between:
TutorMe Technologies Ltd., a company registered in England and Wales with company number 15024012 whose registered office is at Union House 111 New Union Street, Coventry, England, CV1 2NT (hereinafter referred to as "TutorMe", "we", "us", or "our")
and
The Student and/or their legal guardian (hereinafter referred to as the "Student", "you", or "your") who has accepted these terms through the TutorMe platform.
WHEREAS:
(A) TutorMe provides an online educational platform offering IB-specific educational services;
(B) The Student wishes to participate in TutorMe's Grade Improvement Guarantee programme;
(C) This Agreement sets forth the terms and conditions under which TutorMe will provide the Grade Improvement Guarantee.
NOW IT IS HEREBY AGREED as follows:
1. DEFINITIONS AND INTERPRETATION
1.1 In this Agreement, unless the context otherwise requires, the following expressions shall have the following meanings:
"Academic Misconduct" means any action or attempted action that may result in creating an unfair academic advantage for oneself or an unfair academic advantage or disadvantage for any other member or members of the academic community, including but not limited to cheating, plagiarism, unauthorised collaboration, or sharing of account credentials;
"Continuous Subscription" means an uninterrupted paid subscription to TutorMe's services maintained until at least fourteen (14) days prior to the Student's official IB examination start date;
"Final Grade" means the official grade awarded by the International Baccalaureate Organization for each subject;
"Higher Education Officer" or "HEO" means the designated school official responsible for university applications and predicted grades;
"IB" means the International Baccalaureate Diploma Programme;
"Minimum Usage Requirements" means the specific engagement criteria detailed in Section 3 of this Agreement;
"Predicted Grade" means the official grade prediction issued by the Student's school through their HEO;
"Refund" means the amount payable under this Agreement, calculated on a pro-rata basis as specified in Section 4;
"Standard Subscription Rate" means the regular monthly subscription fee charged by TutorMe, excluding any promotional discounts, offers, or reductions;
1.2 In this Agreement, unless the context otherwise requires:
(a) words importing the singular include the plural and vice versa;
(b) references to Sections are to sections of this Agreement;
(c) headings are included for convenience only and shall not affect the interpretation of this Agreement;
(d) any reference to "writing" or "written" includes electronic communications;
(e) any reference to any statute or statutory provision includes any statute or statutory provision which amends, extends, consolidates or replaces the same.
2. ELIGIBILITY AND REGISTRATION
2.1 Registration Requirements
2.1.1 The Student must register using their official school email address.
2.1.2 The Student must be currently enrolled in an IB Diploma Programme.
2.1.3 Registration must be completed within thirty (30) days of subscription commencement.
2.2 Subscription Requirements
2.2.1 The Student must maintain a Continuous Subscription without any gaps or interruptions.
2.2.2 Any lapse in subscription automatically voids this Agreement.
2.2.3 The Student must be subscribed to either the TutorMe Unlimited (Monthly or Diploma) or TutorMe Three Subject (Monthly or Diploma) plans.
2.3 Predicted Grades
2.3.1 The Student must provide TutorMe with permission to obtain Predicted Grades directly from their HEO.
2.3.2 In the event that the school does not provide Predicted Grades, the following minimum grade requirements shall apply for refund eligibility:
(a) Higher Level (HL) subjects: Grade 6 or above
(b) Standard Level (SL) subjects: Grade 5 or above
3. MINIMUM USAGE REQUIREMENTS
3.1 Subject-Specific Requirements
3.1.1 For all subjects except IB Groups 1 and 2:
(a) Minimum of ten (10) Study Buddy questions completed per week
(b) Minimum of five (5) complete essays submitted through Essay Doctor
(c) Active platform engagement on at least two (2) distinct days per week
3.1.2 For IB Groups 1 and 2 subjects:
(a) Study Buddy question requirement is waived
(b) Minimum of five (5) complete essays submitted through Essay Doctor
(c) Active platform engagement on at least two (2) distinct days per week
3.2 Future Requirements
3.2.1 TutorMe reserves the right to update Minimum Usage Requirements upon thirty (30) days written notice.
3.2.2 Upon release of mock examinations, completion of ten (10) mock exams per subject will be required.
4. REFUND CALCULATION AND PAYMENT
4.1 Refund Calculation
4.1.1 Refunds shall be calculated on a pro-rata basis as follows: (Total Standard Subscription Rate × Number of Eligible Subjects) ÷ Total Number of IB Subjects
4.1.2 Eligible subjects are those not achieving Predicted Grade plus one (1) point, up to a maximum of grade seven (7).
4.1.3 The denominator shall include all IB subjects taken by the Student except Group 6.
4.2 Payment Terms
4.2.1 Refunds shall be processed only to the original payment method used for subscription payment.
4.2.2 Refunds shall be made in the original currency of payment. 4.2.3 The following are explicitly excluded from refund calculations:
(a) Any Value Added Tax (VAT) or sales tax
(b) Payment processing fees
(c) Bank charges
(d) Any other third-party fees related to payment processing
5. CLAIMS PROCESS
5.1 Submission Timeline
5.1.1 Claims must be submitted within forty-five (45) days of official IB results release.
5.1.2 For students awaiting regrading:
(a) Notice of regrading must be submitted within the original forty-five (45) day window
(b) Final claim must be submitted within fourteen (14) days of receiving regraded results
5.2 Required Documentation
5.2.1 The following documentation must be submitted with each claim:
(a) Official IB final results
(b) School-issued Predicted Grades from HEO
(c) Proof of Continuous Subscription
(d) Completed claim form
(e) Any additional documentation requested by TutorMe
6. EXCLUSIONS AND LIMITATIONS
6.1 This Agreement shall be void in the event of:
6.1.1 Any subscription gaps or interruptions
6.1.2 Detection of Academic Misconduct
6.1.3 Account sharing or unauthorized content distribution
6.1.4 Failure to meet Minimum Usage Requirements
6.1.5 Invalid or unverified school email address
6.2 Promotional Considerations
6.2.1 Refund calculations shall be based on Standard Subscription Rates only
6.2.2 Promotional discounts shall not be included in refund calculations
6.2.3 This Guarantee cannot be combined with other guarantees or refund policies
7. DATA PROTECTION AND PRIVACY
7.1 The Student hereby consents to:
7.1.1 Verification of academic status
7.1.2 Communication with school officials
7.1.3 Use of anonymized performance data
7.1.4 Maintenance of platform content confidentiality
8. GENERAL PROVISIONS
8.1 Force Majeure
8.1.1 Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control.
8.2 Severability
8.2.1 If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
8.3 Entire Agreement
8.3.1 This Agreement constitutes the entire agreement between the parties regarding the Grade Improvement Guarantee.
8.4 Amendments
8.4.1 TutorMe reserves the right to amend these terms upon thirty (30) days written notice.
9. GOVERNING LAW AND JURISDICTION
9.1 This Agreement and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the laws of England and Wales.
9.2 The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement.
10. ACCEPTANCE
By subscribing to TutorMe and participating in the Grade Improvement Guarantee programme, the Student acknowledges that they have read, understood, and agreed to be bound by the terms and conditions of this Agreement.
IN WITNESS WHEREOF, this Agreement has been entered into on the date of the Student's acceptance through the TutorMe platform.
